This morning, HPE consummated the merger of its wholly owned subsidiary with and into Nimble, with Nimble continuing as the surviving corporation, pursuant to the terms of the merger agreement and in accordance with Section 251(h) of the General Corporation Law of the State of Delaware. HPEs wholly owned subsidiary accepted for payment all Nimble Storage shares that were validly tendered and not validly withdrawn pursuant to the Offer, and payment for such shares will be promptly made by the depositary. An aggregate of 75,566,796 Nimble shares were validly tendered and not validly withdrawn pursuant to the Offer, representing approximately 80.8% of the Nimble shares then outstanding.
